Sema Terms of Use

These Terms of Use describe the rules for using Sema, an iOS translation app operated by McGrew Home Management LLC.
By using Sema, you agree to these Terms. If you do not agree, do not use Sema.
1. Who Operates Sema
Sema is operated by McGrew Home Management LLC.

2. The Service
Sema provides text, speech, transcription, translation, and generated speech features for supported language pairs through the Sema app, Sema API, and service providers.
Sema is a general translation support tool. It is not a legal, medical, immigration, financial, emergency, or safety-critical communication service.
3. Eligibility
You must be at least 13 years old to use Sema.
Sema is not directed to children under 13. If we learn that an account is being used by someone under 13, we may block or delete the account.
4. Accounts and Access
Production features may require Sign in with Apple and an active Sema account.
You are responsible for:
- keeping access to your device and account secure;
- using Sema only through authorized app and API flows;
- complying with these Terms and applicable laws; and
- deleting your account or contacting support if you no longer want to use Sema.
We may limit, suspend, or terminate access if needed to protect Sema, users, service providers, or legal compliance.
5. Translation Content
You are responsible for the text, speech, audio, comments, and other content you submit to Sema.
You grant McGrew Home Management LLC the limited permission needed to process your submitted content to operate Sema, including transcription, translation, generated speech, issue-report review, support, troubleshooting, safety, security, and service-improvement activities described in the Privacy Policy.
You retain any rights you have in content you submit, subject to the limited permissions above and the rights of others.
Do not submit content you are not allowed to submit or content that violates law, rights of others, or these Terms.
6. Translation Accuracy and High-Stakes Use
Sema translations are generated by software and model providers. Outputs may be wrong, incomplete, delayed, or missing important context.
Do not rely on Sema as your only source for:
- emergency communication;
- medical, legal, immigration, or financial interpretation;
- safety-critical instructions;
- compliance decisions;
- binding commitments; or
- any other high-stakes situation.
For important messages, verify the translation with a qualified human translator or other appropriate professional source.
7. Acceptable Use
You must not use Sema to:
- violate applicable law or App Store rules;
- abuse quotas, rate limits, accounts, or service protections;
- probe, attack, disrupt, or reverse engineer Sema or its systems except where allowed by law;
- automate scraping or unauthorized API access;
- submit content that infringes others' rights;
- harass, threaten, defraud, or harm others;
- submit malware, malicious instructions, or abusive content;
- evade security, abuse, or trust controls; or
- use Sema for high-stakes decisions without appropriate independent verification.
8. Service Availability and Changes
Sema depends on app state, network access, backend services, Apple services, and model or speech providers. The service may be unavailable, delayed, limited, or changed.
We may change, suspend, limit, or discontinue features. We may also apply quotas, rate limits, access controls, maintenance windows, or other safeguards.
9. Third-Party Services
Sema uses third-party services, including Apple services and model or speech providers such as OpenAI. Third-party services may have their own terms, policies, limits, outages, or requirements.
Sema is not responsible for third-party services beyond what applicable law requires.
10. Privacy
The Sema Privacy Policy explains how Sema collects, uses, shares, retains, and protects information.

11. Issue Reports and Support Content
If you submit a translation issue report or support message, you are responsible for the content you provide.
Issue reports may include selected reasons, optional comments, submitted source text or transcript, submitted translated text, and operational context needed to review the report. Issue reports do not include raw source audio by default.
12. Account Deletion
You may request account deletion through available in-app or support flows.
Account deletion is intended to stop account access and remove app-scoped local history and generated speech cache for that user on the device. Some backend operational, security, abuse-prevention, deletion, or legal records may remain as described in the Privacy Policy.
13. Ownership
Sema, including its app design, software, branding, systems, documentation, and service materials, is owned by McGrew Home Management LLC or its licensors.
These Terms do not transfer ownership of Sema or any McGrew Home Management LLC intellectual property to you.
14. Feedback
If you provide feedback, suggestions, or ideas, you allow McGrew Home Management LLC to use them without restriction or compensation, unless we separately agree otherwise in writing.
15. Disclaimers
Sema is provided "as is" and "as available."
To the fullest extent allowed by law, McGrew Home Management LLC disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Sema does not guarantee perfect translation accuracy, uninterrupted service, constant availability, preserved history, compatibility with all devices, continued provider availability, or suitability for high-stakes use.
16. Limitation of Liability
To the fullest extent allowed by law, McGrew Home Management LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, service interruption, or substitute services arising from or related to Sema.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply only to the extent allowed by law.
17. Indemnity
To the extent allowed by law, you agree to defend, indemnify, and hold harmless McGrew Home Management LLC from claims, damages, losses, liabilities, costs, and expenses arising from your misuse of Sema, your violation of these Terms, or content you submit through Sema.
18. Governing Law
These Terms are governed by the laws of Texas, without regard to conflict of law rules, except where applicable law requires otherwise.
19. Apple Terms
If you download or use Sema through the Apple App Store, Apple's terms and policies may also apply to your download and use of the app.
20. Changes to These Terms
We may update these Terms as Sema changes. If we make material changes, we may provide notice in the app, on the website, or through another reasonable method.
Continued use of Sema after updated Terms become effective means you accept the updated Terms.
